Terms of Service

1. About Todolo
Todolo is provided by Aviato Labs AB (“Todolo”, “we”, “us”).
Todolo is a cloud-based platform enabling organizations to manage:
- Operational routines, checklists and tasks
- Internal communication
- Training and onboarding
- Incident and deviation management
- Documents and handbooks
The service is used by organizations and their users (the “Customer”).
2. Scope of Agreement
These Terms govern the Customer’s use of Todolo.
If a separate agreement exists, the following order of precedence applies:
- Written agreement / Order
- Appendices (e.g. SLA, DPA, Information Security)
- These Terms
3. Access and Use
3.1 Organization and Permissions
The Customer is fully responsible for:
- Organizational structure (units, groups, roles)
- Access and permission settings
Todolo is not responsible for misconfiguration or incorrect permission management.
3.2 User Accounts
The Customer is responsible for ensuring that:
- Only authorized users have access
- Login credentials are kept secure
- Access is removed when users leave the organization
3.3 Acceptable Use
The Customer may not use the service to:
- Violate applicable laws or regulations
- Store unlawful, offensive, or inappropriate content
- Process sensitive personal data (including health data)
- Use the service for regulated activities (e.g. medical or legal records)
Todolo is not intended to function as a medical record system or for regulated data processing.
4. Onboarding and Implementation
The Customer is responsible for implementing and configuring the service, including:
- Organizational structure
- Users and roles
- Content and workflows
Todolo may provide guidance, onboarding support, or recommendations; however, the Customer remains fully responsible for how the service is implemented and used.
The Customer is responsible for ensuring that use of the service complies with applicable laws and internal policies.
5. AI Features
Todolo may include artificial intelligence features, including but not limited to:
- Content generation
- Translation
- Recommendations
The Customer is responsible for:
- Reviewing and verifying AI-generated content
- Ensuring AI features are not used for sensitive or regulated data
AI features are provided without any guarantee of accuracy, completeness, or fitness for a specific purpose.
6. Customer Data
6.1 Ownership
The Customer retains all rights to its data.
6.2 Processing
Todolo processes Customer data in order to:
- Provide and operate the service
- Maintain security and performance
- Provide support and improvements
Where Todolo processes personal data on behalf of the Customer, such processing is governed by a separate Data Processing Agreement (DPA).
6.3 Backup
Backups are performed for disaster recovery purposes only.
Backups are not intended as a storage or archival solution and do not guarantee full historical recovery.
6.4 Data Access and Export
During the term of the agreement, the Customer may access and export its data using available functionality in the service.
The Customer is responsible for exporting its data prior to termination.
7. Integrations and Third-Party Services
Todolo may integrate with third-party systems.
Todolo is not responsible for:
- Third-party services or their availability
- Changes to external APIs or integrations
- Data provided by third parties
At the moment, a list of subprocessors and key third-party providers is available only upon request; it is not yet published on Todolo’s website.
8. Information Security
Todolo applies appropriate technical and organizational measures to protect Customer data, including:
- Access controls and authentication mechanisms
- Encryption of data in transit and at rest
- Secure infrastructure and monitoring
Further details may be provided upon request or in separate documentation.
9. Availability
Todolo aims to maintain high service availability and performance.
The service may be affected by:
- Planned maintenance
- Security-related measures
- Events beyond Todolo’s reasonable control
Any guaranteed service levels are defined in a separate Service Level Agreement (SLA), which constitutes the Customer’s sole and exclusive remedy for availability-related issues.
10. Fees and Payment
Fees are defined in a separate agreement.
Unless otherwise agreed:
- Payment terms are 20 days
10.1 Suspension for Non-Payment
Todolo reserves the right to suspend or restrict access to the service with immediate effect if:
- Payment is overdue
- There is reasonable suspicion of non-payment
- The Customer breaches its payment obligations
Where possible, Todolo will provide prior notice.
Access may remain suspended until full payment has been received.
11. Suspension and Termination
Todolo may suspend or terminate access to the service, in whole or in part, with immediate effect if:
- The Customer materially breaches these Terms
- The service is used in violation of applicable law
- There is a security risk or suspected misuse
- Payment obligations are not fulfilled
12. Intellectual Property
All rights, title, and interest in and to Todolo, including software, design, and functionality, remain with Todolo or its licensors.
The Customer is granted a limited, non-exclusive, non-transferable right to use the service during the term of the agreement.
13. Limitation of Liability
To the maximum extent permitted by law:
Todolo shall not be liable for:
- Indirect or consequential damages
- Loss of profits, revenue, or data
- Business interruption
Todolo’s total liability under these Terms is limited to the fees paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.
14. Force Majeure
Todolo is not liable for delays or failures caused by events beyond its reasonable control.
15. Term and Termination
Unless otherwise agreed:
- The agreement continues until terminated
- Notice period is three (3) months
Upon termination:
- The Customer remains responsible for exporting its data
- Todolo may delete Customer data in accordance with applicable data retention practices
16. Changes to the Terms
Todolo may update these Terms from time to time.
For material changes, Todolo will provide reasonable notice prior to such changes taking effect.
Continued use of the service after the effective date constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by Swedish law.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Gothenburg, Sweden.
